1. Who we are

"We", "us" and "TWFL" mean The Website Factory London Ltd, company number 13267178, registered in England and Wales at 124 City Road, London EC1V 2NX. "You" means the client named in a proposal.

2. Proposals and acceptance

We send a written proposal describing the work, deliverables, price and timeline. Work begins when you accept it in writing (email is fine) and pay any deposit stated. Anything not in the proposal is out of scope and may be quoted separately.

3. Prices and payment

Prices are in pounds sterling and exclude VAT unless stated. Fixed-price projects are typically invoiced 40% on acceptance, 40% on design or build sign-off, and 20% at launch; monthly services are invoiced in advance. Invoices are due within 14 days. Third-party costs such as domains, hosting, licences and stock imagery are passed through at cost unless included in the proposal. We may pause work on overdue accounts and charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

4. Your responsibilities

You will provide content, feedback, approvals and access to accounts we need within a reasonable time, and you confirm that any material you supply does not infringe anyone's rights. Delays in providing these may move the timeline and, where significant, the price.

5. Revisions and sign-off

Proposals state the number of revision rounds included at each stage. Once a stage is approved, further changes to it are chargeable. If we don't hear from you within 10 working days of sending a stage for approval, we may treat it as approved so the project can proceed.

6. Intellectual property

On full payment, you own the copyright in the bespoke design, content and code we create for you. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual licence to use them as part of your deliverable. Open-source software remains under its own licence. Third-party assets remain under their licences. We may show the work in our portfolio unless you ask us not to, and we never publish client data.

7. Hosting, maintenance and support

Monthly services run month to month and either party may end them with one month's written notice. We take reasonable steps to keep services available and backed up but cannot guarantee uninterrupted operation; response and resolution targets are set out in the relevant proposal. Hosting and software accounts are opened in your name where possible so you always retain ownership.

8. Warranties and liability

We will carry out the work with reasonable skill and care and fix defects in our work reported within 30 days of launch at no charge. Beyond that, and to the extent permitted by law, we exclude all other warranties. Our total liability under any project is limited to the fees paid for that project in the preceding 12 months, and we are not liable for loss of profit, data or business, or for indirect or consequential loss. Nothing limits liability for death, personal injury, fraud or anything that cannot be limited by law.

9. Data protection

Each party will comply with UK data protection law. Where we process personal data on your behalf, our privacy policy and, where required, a written data processing agreement apply.

10. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the project, except where disclosure is required by law.

11. Ending a project

Either party may end a project by written notice if the other materially breaches these terms and fails to remedy the breach within 14 days. On termination you pay for work completed to that date and we hand over the deliverables completed and paid for.

12. General

These terms are governed by the law of England and Wales and the courts there have exclusive jurisdiction. If any clause is found unenforceable the rest continue to apply. Neither party is liable for delay caused by events outside its reasonable control.
